IRESERVATIONS TERMS OF USE

Thank you for using IReservation. The Terms and Services enumerated herein and elsewhere as applicable provides for the terms and conditions of your access and/or use of the iReservations website (“IReservation Platform”) including but not limited to the IReservation Services (defined below) made available or hosted by admin@ireserved.com.

If you are a person who is accessing or using the Services, (“User”) We request and hope that you will familiarise yourself with the terms and conditions since by accessing or using the Services you undertake, represent and warrant the following

That you acknowledge that you have read, understand, and agree to be bound by this Terms enumerated herein
That you are of legal age and not prohibited by law from accessing or using the Services
All use or access of the Services shall be subject to the terms herein.

IRESERVATION SERVICES
1. IReservation Services is an online marketplace Platform hosted at the following address Al Garhoud, PO BOX 3555, Dubai – UAE wherein User can connect and undertake reservations with participating food, beverage and entertainment service providers like restaurants, bars and clubs (“Participating Merchants”).
2. IReservation Services does not provide reservations. the facility provided by IReservation is limited to connecting the User with Participating Merchants and communicating the reservation requirement.
3. User shall have the option to communicate their booking or reservation requirement through the IReservation Platform, the same shall be communicated with the Participating Merchant. Upon receipt of response from Participating Merchant, we shall communicate the confirmation of reservation or non-availability of the reservation at the Participating merchants.

1. Confirmation of reservation shall be a binding contract between the Participating Merchant and the User. The communication of reservation shall be undertaken through any of the communication channels shared by the User in the IReservation Platform.
2. IReservation is not an agent for the Participating Merchant or the Service Partner and is not in the business of referral services to Participating Merchants, instead IReservation focusses on providing information to the Users to various Participating Merchant in a geographic area and the booking facility available at the Participating Merchant, the mode of facility, cost of any and all services that the User wishes to avail from the Participating Merchant. Based on the requirement of the User, IReservation shall provide, through the IReservation Platform, a list of Participating Merchants or services available with a particular Participating Merchant and the User may book for the services provided by the Participating Merchant as per his requirement.
3. We would like to emphasise that the facilities provided by IReservation are individual and personal in nature and are therefore non-transferable and only cover the individual(s) Accessing the IReservation Platform or for whom the IReservation Platform is being accessed.
REVIEW AND RATING SYSTEM
1. The IReservation Platform shall enable you to rate and review your experience at the Participating Merchants facility and experience. The Review system shall be subject to the Usage and content controls provided below. However, we may be filtering the reviews and rating after consideration with the Participating Merchants comments or if the review or rating is seen as a deliberate attempt to discredit any Participating Merchant.
2. Similar to the review and rating system for Participating Merchant, Participating Merchant shall also be allowed to rate their experience with your presence. This information shall be made available to other Participating merchant to ensure Participating merchant has sufficient knowledge before committing to the reservation (“Merchant Rating”). You authorise us to publish and make available the Merchant Rating in the IReservation Platform to be accessed by other Participating merchants and to enable you and Participating Merchants to have a better experience of IReservation Services.
3. Based on the Merchant Rating and the number of usages, IReservation shall award you various categories of usage status or ranks. A description of the various usage ranks is provided in the app. Based on your usage and rank attained by the Merchant Rating you shall be awarded with discounts, cashbacks and other services as deemed fit by IReservation.
BOOKING AND CANCELLATION OF RESERVATIONS
1. The manner of reservation and booking is provided in the booking and cancellation terms here.
PAYMENT AND REFUND
1. The reservation facility may be charged by the Participating Merchants, IReservation provides the facility to undertake payment for such reservation through the IReservation portal. The payment and refund terms is fully provided here.
REGISTRATION AND MEMBERSHIP
1. To fully avail the benefit of IReservation Services you are required to undertake registration. For registration with us, you are required to provide true, accurate and current information as prompted by the IReservation Platform, as and when required. We may deny registration, in the event of breach of applicable law or failure to meet any eligibility criteria or if you have been barred from accessing IReservation Services.
2. Your registration with the IReservation Services results in the formation of an account in your name and you will be provided with a username and password (“Account”). Each username and password must be used by a single user and is not transferable. You are entirely responsible for all activities which occur in your Account, including unauthorized use of your or any other credit card. You must notify IReservation, immediately if you become aware of any unauthorized use of your Account, username and/or password. If you forget or lose your password, you shall request a new password.
3. You agree that you shall only register under the same name and credentials even if you create Accounts after the expiry of the first Account. In case IReservation decides to delete the Account or debar you from use of the IReservation Platform for any reason whatsoever, you shall not directly or indirectly enrol with the IReservation Platform again.
4. You agree that you will update the information provided by you while registering with Us, and any other information you provide to Us. You agree that we are not responsible for any failure of IReservation Service due to information being incomplete, inaccurate and non-updated.
5. You agree to provide us with any information or documents as may be requested by IReservation or any other authority without any protest for the purpose of enabling IReservation and/or authority to verify the accuracy of the information provided by you and conformity of your use of the IReservation Platform with these Terms of Use.
6. You shall be fully responsible for all use and for any actions that take place using your Account.
7. You understand that as part of Your access as well as in course of Your use of the IReservation Platform, you may receive information from IReservation on such registered devices and registered email accounts. This information will relate to Your transactions that You carry out through the IReservation Platform and any such information found suitable of Your attention by IReservation. Please note that IReservation will send this information only to such contact details provided by you. It shall be the responsibility of the User to ensure that you provide the correct contact information.
8. By registering with our IReservation Platform, you agree to receive promotional and non-promotional messages, calls and mails from IReservation or on behalf of IReservation. In the event if you wish to unsubscribe to such promotional message and mails, you shall have the option to do so.
9. You will also have the right to purchase membership with our services. The terms of membership, the fees etc is provided in the app. However some class of membership and corresponding benefits may be granted by Ireservation based on the rating and usage by the User.

PRIVACY POLICY
1. The manner in which we deal with the information created due to your Registration and access to IReservation Platform or IReservation Services is provided in the Privacy Policy;
USAGE CONTROLS
1. You may be permitted to upload files, photos or other similar form of media content to avail Treatment Option Services ("User Content"). Please note that IReservation does not undertake to pre-screen User Content. However, IReservation may periodically examine the information transmitted or received through the IReservation Platform and deal with or modify such information transmitted or received through the IReservation Platform as may be deemed necessary by IReservation in accordance with reasonable security practices from time to time. You shall be bound by any such actions or decisions of IReservation.
2. You shall be solely responsible for all User Content and shall be liable for any injury, damage and consequences that may arise due to uploading such User Content. You are hereby advised to make all inquiries that you may deem necessary prior to availing any services or uploading any User Content. We will not be liable to the User or any other person in any way for any costs or consequences due to the User Content that is made available in the IReservation Platform.
3. You understand and agree that you are responsible for providing all telephone, modem, Internet connection, intranet connection, extranet connection and other equipment necessary for you to access the IReservation Platform. You are solely responsible for and shall bear the costs of any such equipment and any fees or charges incurred to access the IReservation Platform through an Internet access provider or other third-party service, including any applicable taxes.
4. You shall not use any part of the IReservation Platform for any commercial activity whatsoever, or engage in any business, trade or vocation whether competing in nature in relation to the business of IReservation without the prior written consent of IReservation, including, for example, inserting your own or a third party's advertising, branding or promotional content, promoting a political party/agenda, promoting a religion/religious group, promoting a website or application competing with the IReservation Platform into the IReservation Platform's contents, materials or services or in the User Content, in any manner whatsoever.
5. We may as part of the IReservation Platform, display advertisements, promotions, offers, enrolments, provide links to third party websites with whom IReservation may have a business or contractual relationship for which IReservation may or may not receive monetary gain. However, any engagement of yours with such third parties is at your sole risk as to costs and consequences. IReservation has not examined or evaluated the content, accuracy, completeness, legality, decency, quality or any other aspect of such third-party websites. IReservation shall also not be responsible or liable in any manner for any losses suffered or costs incurred by the User arising out of or in relation to any such engagement with third parties or third-party websites or any transaction that you may enter into pursuant to use of the IReservation Platform.
6. You agree not to use the IReservation Platform/Services to:
  1. upload, post, email, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
  2. impersonate any person or entity, including, but not limited to, IReservation official, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  3. intentionally or unintentionally violate any applicable local, state, national or international law, or any regulations having the force of law;
  4. Collect or store personal data about other Users.
  5. While Access to IReservation Platform or availing Services, you agree not to host, display, upload, modify, publish, transmit, update or share any information that:
  6. belongs to another person and to which You do not have any right to;
  7. is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
  8. harm minors in any way;
  9. infringes any patent, trademark, copyright or other proprietary rights;
  10. violates any law for the time being in force;
  11. deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
  12. impersonate another person, contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
  13. threatens the unity, integrity, defence, security or sovereignty of United Arab Emirates, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation.
7. Your use of this IReservation Platform shall be subjected to the following restrictions:
  1. You will not delete or modify any content of the IReservation Platform including but not limited to, legal notices, disclaimers or proprietary notices such as copyright or trademark symbols, logos, that You do not own or have express permission to modify;
  2. You will not decipher, decompile, reverse engineer, or disassemble the content, or
  3. You will not use any engine, software, tool, agent or other device or mechanism (such as spiders, robots, avatars or intelligent agents) to navigate or search the IReservation Platform;
  4. You will not remove any copyright, trademark registration, or other proprietary notices from the IReservation Platform. You further agree not to access or use this IReservation Platform in any manner that may be harmful to the operation of this IReservation Platform or its content.
  5. You will not frame or hotlink or deep link any IReservation Content
  6. You will not use the IReservation Platform and / or Services in any way that is unlawful, or harms the Company or any other person or entity, as determined in the IReservation's sole discretion.
  7. You will not engage in any form of antisocial, disrupting, or destructive acts, including “flaming”, “spamming”, “flooding”, “trolling”, “phishing' and “grieving” as those terms are commonly understood and used on the Internet.
8. IReservation, upon obtaining knowledge by itself or through any other source, shall be entitled to disable such information that is in contravention of this Terms of Use and shall be entitled without obligation to preserve such information and associated records for the purpose of production to governmental authorities for investigation purposes.
THIRD PARTY WEBSITES
1. This IReservation Platform contains hypertext links to websites not maintained by us, including the third-party e-commerce sites. You are reminded that when you enter other websites via such hypertext links, you will not be subject to Terms of Use and you will not benefit from the protections afforded to you in using the IReservation Platform. We will not be liable in any way for the content, availability or use of such linked web sites and you use such links entirely at your own risk.
2. We do not extend this Terms of Use to any other website except for this IReservation Platform. We do not make any warranty or give any security to the personal information disclosed by You to the other websites, even if such websites are linked to our IReservation Platform or they are using our IReservation Platform link.
3. IReservation does not endorse any Third-Party websites that You may be directed to from the IReservation Platform.
REPRESENTATIONS, WARRANTIES AND DISCLAIMERS
1. You understand, agree, covenant, warrant that:
  1. You are of legal age and that Your use of the IReservation Platform shall not violate any applicable law or regulation;
  2. All information You submit is truthful and accurate and that You agree to maintain the accuracy of such information;
  3. You as a Registered or Non-Registered User will use the IReservation Platform solely for Your personal and non-commercial use. Any use of this IReservation Platform or its content other than for personal purposes is prohibited;
  4. This is only Platform for connecting Registered Users with Participating Merchants;
  5. We do NOT promise any types of treatment or special privileges with Participating Merchants;
  6. We are NOT responsible for any charges levied by the Participating Merchant;
  7. We have NO control over the food or beverages or other facilities of the Participating Merchant;
  8. You are entitled to upload the User Content and that the User Content does not infringe third party rights in any manner whatsoever;
  9. We may contact you for quality purposes and customer feedback;
  10. We may also contact you for promoting our additional services;
  11. We reserve the right to use your name, photo for our promotions as a testimony, in case you are selected for any Project; and
2. IReservation does not make any claim representation and/or warranty for the security, reliability, quality, timeliness, and performance of:
  1. The IReservation Platform and its features;
  2. Any information, content or advice available on or received through the IReservation Platform;
  3. Access to or alteration of user content or Participating Merchant content;
  4. Transmissions or data any other matter relating to or due to the Access to Reservation Platform;
3. IReservation makes no warranty or representation that any errors in the IReservation Platform will be corrected except as required by law.
4. IReservation assumes no responsibility and/or liability with respect to any User Content which you may post on the IReservation Platform and you are solely responsible for such User Content posted on the IReservation Platform.
5. Neither IReservation nor any third party service providers are liable for any technical or other operational difficulties or problems which may result in loss of your data, personalization settings or other interruptions in the features offered on the IReservation Platform neither IReservation nor any third party is liable for the deletion, loss, mis-delivery, timeliness or failure to store or transmit any User Content, Participating Merchant content or IReservation Content or your personalization settings.
6. IReservation assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect User's equipment on account of User's access to, use of, or browsing the IReservation Platform or the downloading of any material, data, text, images, video content, or audio content from the IReservation Platform. If a User is dissatisfied with the IReservation Platform, User's sole remedy is to discontinue using the IReservation Platform.
7. IReservation does not provide any guarantee and shall not be held liable or responsible for the failure to send SMS or other notifications or reminders to you as a feature of the IReservation Platform.
8. IReservation shall not be responsible or liable for any breach or loss of data including Personal Information caused due to events beyond the control of IReservation or due to technical reasons or third-party actions.
9. To the fullest extent permissible under the applicable law, IReservation and its third-party partners, licensors, and suppliers disclaim all warranties, statutory, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. No advice or information, whether oral or written, obtained by you from IReservation or through the Services or the IReservation Platform will create any warranty not expressly stated herein. You expressly acknowledge that as used in this section, the term “IReservation” includes IReservation’s officers, directors, employees, shareholders, agents, licensors, subcontractors and affiliated companies.
10. Access to and use of this IReservation Platform is at the User's own risk and we do not represent or warrant that the use of this IReservation Platform or any material downloaded from it will not cause damage to property, including but not limited to loss of data or computer virus infection. In no event do we accept liability of any description including liability for negligence for any damages whatsoever resulting from loss of use, data or profits arising out of or in connection with the access, use or performance of this IReservation Platform or any its contents.
11. Notwithstanding anything contained in the Terms of Use, you agree that the registration with us does not mandate continuous service from us and that the IReservation may unilaterally terminate Your registration and delete any information that you may have created during the Access to IReservation Platform or registration, upon refund of pro rata amounts paid by you.
INDEMNIFICATION
1. You agree to defend, indemnify and hold harmless IReservation, its affiliates, contractors, employees, officers, directors, agents and its third party suppliers, licensors, and partners harmless from and against liabilities, costs, damages and expenses, including but not limited to settlement costs and reasonable attorneys' fees arising from any claims from anybody that result from or relate to your use, misuse of the Services or Access to IReservation Platform, third party intellectually property infringement claims with respect to User Content and any violation by you of this Terms of Use or any breach of the representations, warranties, and covenants made by you herein.
2. You shall be liable to indemnify and hold IReservation harmless against all damages, losses, costs and expenses incurred by IReservation as a consequence of any complaint from any third party received by IReservation with respect to Your defective usage of the IReservation Platform.
3. In addition to the indemnification rights of IReservation under these Terms of Use, IReservation shall also be entitled to such other remedies available under Applicable Laws.
LIMITATION OF LIABILITY
1. In no event will IReservation or its contractors, agents, licensors, partners, suppliers be liable to you for any special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation lost business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever) arising out of or relating to, this Terms of Use; Access to IReservation Platform, the Services, the IReservation Platform or any reference site, or Your use or inability to use the Services, the site (including any and all materials) or any reference sites; even if IReservation or a IReservation authorized representative has been advised of the possibility of such damages.
2. In no event will IReservation or any of its contractors, directors, employees, agents, third party partners, licensors or suppliers’ total liability to you for all damages, liabilities, losses, and causes of action arising out of or relating to this Terms of Use, the Services or your use or inability to use the Services or the IReservation Platform, any other interactions with IReservation, however caused and whether arising in contract, tort including negligence, warranty or otherwise, exceed the amounts paid by You to IReservation under such registration.
3. You further acknowledge and agree that IReservation has offered its Services, and entered into this Terms of Use in reliance upon the warranty disclaimers and the limitations of liability set forth herein, that the warranty disclaimers and the limitations of liability set forth herein reflect a reasonable and fair allocation of risk between you and IReservation, and that the warranty disclaimers and the limitations of liability set forth herein form an essential basis of the bargain between you and IReservation. IReservation would not be able to provide the Services to you on an economically reasonable basis without these limitations. In any case, I Reservation’s liability will be limited to the fullest extent permitted by applicable law. This paragraph shall survive termination of this Agreement.
4. In no event shall the IReservation, its affiliates and officials be liable for failure on the part of the Participating Merchant to provide agreed services or to make themselves available at the appointed time, cancellation or rescheduling of appointments. In no event shall IReservation be liable for any comments or feedback given by any of the Users in relation to the services provided by a Participating merchant
OWNERSHIP; PROPRIETARY RIGHTS AND LICENSE TO USE
1. All the intellectual property and proprietary rights in the IReservation Platform including but not limited to the contents therein such as visual, audio and the other interfaces, graphics, design, compilation, information, computer code (including source code and object code), products, software, services, and all other elements of the forming a part of the IReservation Platform or the Services are owned by IReservation or third party service providers, licensors or suppliers and are protected by applicable laws.
2. You agree not to remove, obscure, or alter I Reservation’s or any third party’s copyright, patent, trademark, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Services or through the use of the IReservation Platform.
3. You hereby grant IReservation a perpetual, irrevocable, royalty free, non-exclusive, transferable, sub-licensable, worldwide right and license to use, modify, the User Content, for the purpose of providing you Services.
4. We reserve the right to modify, suspend or stop the IReservation Platform and/or Services.
TERM AND TERMINATION
1. The Account of a User automatically expires at the end of the period indicated therein.
2. You shall have the option to terminate the Account, however there shall be no refund of amounts paid.
3. You agree that any unauthorized use of the IReservation Platform, (or any content derived therefrom) by you or by anyone using you user name or password may result in immediate suspension or termination of your Account by IReservation, in its sole and absolute discretion, without refund of any pre-paid fees. You represent and warrant that the information provided during the registration process is true and accurate and agrees to update the information thereafter in the event of any changes. IReservation reserves the right to terminate your Access to Reservation Platform in the event that you provide any false information to IReservation as part of the registration process, without refund of any fees. In the event of such termination, you will continue to be liable for applicable fees for the period prior to termination, together with such other remedies as to which IReservation may be entitled under law or equity.
4. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies IReservation may have at law or in equity. Upon expiry or termination for any reason, you agree to immediately stop availing the Services.
MISCELLANEOUS
1. We reserve the right to modify the Terms of Use at any time without giving any prior notice. Your use of the IReservation Platform following any such modification constitutes an agreement to follow and be bound by the Terms of Use as modified. Any additional terms and conditions, disclaimers, privacy policies and other policies applicable in general and/or to specific areas of this IReservation Platform or to particular Service or to Access to IReservation Platform are also considered as Terms of Use and the same shall be modified by IReservation without giving any prior notice. You are requested to read the Terms of Use in a timely manner to be informed of the modifications. If you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Services or use of the IReservation Platform. For certain changes, IReservation may be required under applicable law to give you advance notice, and IReservation will comply with such requirements.
2. We shall not be in breach of its obligations under this Agreement if there is any total or partial failure of performance of our duties and obligations occasioned by any act of God, fire, act of government or state, war, civil commotion, insurrection, embargo, inability to communicate with third parties for whatever reason, failure of any computer dealing or settlement system, failure of or delay in any mobile phone network, prevention from or hindrance in obtaining any energy or other supplies, labour disputes of whatever nature, late or mistaken payment by an agent or any other reason (whether or not similar in kind to any of the above) beyond our control.
3. IReservation may provide you with notices and communications by email, regular mail or postings on the IReservation Platform or by any other reasonable means. Except as otherwise set forth herein, notice to IReservation must be sent by courier or registered mail to admin@ireserved.com
4. The failure of IReservation to exercise or enforce any right or provision of this Terms of Use will not constitute a waiver of such right or provision. Any waiver of any provision of this Terms of Use will be effective only if in writing and signed by IReservation.
5. All the contents and Services provided by us and available through IReservation Platform and any dispute with regard to the Access to IReservation Platform shall be governed by the laws of United Arab Emirates, without giving effect to any principles of conflicts of law. We are not making any representation as to availability and legality of the Access to IReservation Platform and Services in other jurisdictions; in cases where our contents and Services are used from other locations IReservation shall not be responsible for the compliance of applicable laws. In the event of any claim or dispute You agree to submit to the personal jurisdiction of the courts located within [Please provide] for the purpose of litigating all such claims or disputes.
6. If any provision of Terms of Use is held to be unlawful, void, invalid or otherwise unenforceable, then that provision will be limited or eliminated from this Terms of Use to the minimum extent required, and the remaining provisions will remain valid and enforceable.
